Rathi our DG who was to continue as ED/DG till 2009 is being forced to accept to resign pre- maturely in July 2008.

2. Despite much objection from DG (Rathi), an independent post was created in July 2007 to accommodate Mr. Sumeet Nair as E D. His appointment is illegal as there is no provision in the MOA for either having two ED or for making payment to two Appointees.

3. Board's prior approval was not sought for such a huge expenditure for appointment of a consultant at such a huge cost.

4. All Executive powers were transferred from Mrs. Jha to Mr. Nair...

5. Favoritism started from the very day Sumeet was appointed.

6. For the Fashion Week held in August 2007, the official letter from FDCI stated the name of 6 designers as being premium designers whereas the Fashion Week was organized for the entire designer fraternity, and no official endorsement of any designer can be made by an autonomous body like FDCI. This letter was circulated worldwide.

7.During the last Fashion Week held in August 2007. Mr. Grumbagh from Paris Fashion Week visit was not reported to all the members. Three members were selected to participate in the Paris Fashion Week, who was sponsored by FDCI.

8.Illegal attempt to hijack the council by a few Board members of 2007 in connivance of Mr. Sumeet Nair was thwarted by Anju Modi, Leena Singh and J J Valaya in the month of November 2007. It was only because of these three members that 6 members from the old Board who wanted to come again on the new Board could not do so.

9.In the very first Board meeting, of the new Board in January 2008 Sumeet got himself co opted as a Board member and claimed he had a voting right.

10.Sumeet had gone to Paris to tie up for Indian Designer's participation in the Tranoi Fair to be held in Paris. The report of the same is yet to be given to the Board In the meantime 13 designers have been selected at random without following any selection criteria and Rs 25.00 laks has been sanctioned for their participation.

11.Three members were co opted on the Board in January 2008 without following proper procedure for their appointment and the media was informed without the consent of the Board in January 2008.The Board was informed subsequently.

12.Many futile attempts was made by a few members on the Board (including me) to seek information on Accounts, specially details of expenses incurred for the just concluded Fashion Week held in March 2008 but no details have been given. Details on other matters are also not being given. No minutes of the Board is being circulated even to the Board members.

13 The answer to our enquiry on the above was in the form of insults and a demand made by Mr. Sumeet Nair to throw out Mr. Bobby Grover and Ms. Karuna Khaitan from the Board of FDCI.

14.Our entire request to Ashish, the President for intervening in the matter and for a total enquiry fell on deaf ears.

15.On the contrary, Ashish along with 11other members of the new Board and old Board sent in a requisition to call a Special General Meeting signed by 12 members , whereby they declared the Board to be dysfunctional and wanted to dissolve the Board

16.Since there is no provision in the present MOA, they have asked to change the Memorandum, whereby the total control of the FDCI shall go into the hands of only 5 members. They shall be able to do whatever they want, including removing any person from being not only on the Board, but also from the primary membership of the FDCI, a body created by the Designers and for the Designers only.

17.Is it not abundantly clear that may be theses 12 members in connivance with Mr. Sumeet Nair is trying to wrest control from all the members of FDCI and wants to make FDCI a body controlled by a few members only?

18.Please do not be blinded by Summit's stories. Use your intellect for once and read the effects of the Amendments proposed carefully as you will be signing your Death Warrant.

19. ONE SHOULD QUESTION THE INTENTION OF THE PEOPLES WHO HAD PROPOSED THESE AMENDMENTS AND ACCORDINGLY ASSES THE DANGER FACING THE FDCI AS A WHOLESOME HEALTHY BODY.

( 2 ) Few proud moments in the history of FDCI attributed to the people who were actually behind them…

Formation on FDCI and its Memorandum – Mr. Saptrishi, the then ED of NIFT

Lakme association for IFW – Mr. Wendell Rodricks

Wills association for IFW – Mrs. Rathi Vinay Jha, DG

Paris Fashion Week – Mrs. Rathi Vinay Jha, DG

Tranoi Fair, Paris – Initiated by Mrs. Rathi Vinay Jha, DG

Jamie Stuart – Mrs Rathi Vinay Jha, DG

( 3 )In the interest of the FDCI I wish to express the following:

The memorandum that the organisation holds and has followed all these years has served the interest of the board and the members well since its inception. There has been a democratic procedure of elected members on the board. There have been no difficulty in running the board or getting further co-opted members if and when they were invited to the board.Changing an MOU of a company or organisation is an extremely important and difficult task. In my 15 years of being on several boards I have encountered difficult, good and sometimes inefficient boards. In no case whether it was on the NIFT board, or the Handloom Board or on the board of several charitable institutions that i have served on, has a solution been sought through changing of the MOU of any of these institutions. As the ex-president of the FDCI I have studied the new amendments and find them less democratic than what is in place now and see no convincing reason to take them up. I would strongly suggest that weretain the MOU as it stands since we have really no major clause or reason to change the draft of what was done a decade ago.( The MOU was drafted with the help of Mr. Saptrishi the then ED of NIFT)

I appreciate that if there are issues with running the present board they need to be addressed -- but not by changing the constitution.

There has been a suggestion that the election procedure should be made more democratic by allowing voting by outstation members, appointing observers etc.All of these will help in giving a sense of involvement, participation and transparency to the FDCI.I have been informed that the rules of the MOU do not allow for these changes. In this case I would suggest that we could go for a change in the MOU to increase the comfort level of the members of the FDCI. This after it is put through the formality and procedures of the MOU.

The FDCI is going through an internal de-lima at the moment. I would urge all of you to read JJ Vallaya,s letter which has brought up some relevant points, carefully.

Lastly the blogging of Anju Modis mail has caused a great deal of mistrust and aggravation to all concerned.

I would urge everyone to please, in the interest of the FDCi, use restraint with the press and try and resolve most of these issues. We have in the last 10 years come a long way, our credibility with our sponsors, the press and the business community at large is at stake. What is also at stake is the platform the Indian fashion industry has carved for itself. In the light of the crowded retail space in the market-- this window is important for a nascent industry. In the interest of continuity we must hold this fort together, and try not to let personal agendas cloud our vision.

Ritu Kumar

( 4 )

I would like to go on record and state that for too long, many senior members of FDCI have been treating FDCI as a personal fiefdom to pursue their own interests. I have not taken part in Delhi quite simply because as a senor member of the fashion fraternity, I was rudely spoken to by very junior designers who were part of the then Board. It is time that the FDCI starts to "genuinely" support young Indian talent from across the country. Having said that I wish to state that despite not ageeing with the FDCI on many issues I continue to pay my membership as I beleive that the FDCI can one day become a powerful and just body of designers for the cause of Indian Fashion. Despite complaining by letter after my last show n Delhi a few years ago, not once was a reply given to my grieviences. If this is the treatment to senior designers I dread to think what younger members like Anju Mod have endured. I hope egoes are put aside and let the eleced Board of FDCI do their job without interference and absue of position

Wendell Rodricks,
Goa

( 5 )

Dear Board Members,

As a Council and a Board you are at the crossroads. The Board must act with a positive agenda for the organization immediately...

STATUS UPDATE----

*SGM scheduled 29 may '08 cancelled on withdrawal of requisition.

*Civil case by Karuna Khaitan & Anju Modi against FDCI/ED being contested by Council.

*Cyber crime complaint by Anju Modi will be investigated by authorities concerned.

*President [and member] of Board Ashish Soni tendered resignation - not accepted by Board.

*David Abraham, member of Board tendered resignation - not accepted by Board.

*Some Council members have tabled a letter dt 27 may stating intent to break and set up another body.

*Alternate solutions offered by some members to break the impasse at the informal meeting called for by DG on 27 may and decisions proposed by the Board in this context as well as other pressing issues were :--

1. Karuna Khaitan to voluntarily resign – she was subsequently requested and she has declined the request.

OR

Karuna Khaitan to be expelled – Board discussed on 28 May'08 and rejected as such an act will be malafide when civil suit is pending. And lead to further litigation.

2. En masse resignation by all Board members [all elected and co-opted members but not DG ex-officio members-secretary of Board leading therefore, to fresh elections – not acceptable to more than 5 members of present Board. As ascertained on 28 May 08 meeting.

3. Consider after careful deliberations on amendments for a revised constitution of the Board. This whole process + implementation time could take 6+6 =12 weeks. Board will need to study this proposal including legal opinion whether such a move at this juncture will be justifiable. So an immediate decision is not possible [28 may mtng].

4. May be noted that alternatives mooted earlier [in the requisition calling for SGM] to effect amendments to use it as an instrument to change Board constitution and/or to dissolve the Board would be an illegal act. There is no provision in the FDCI Rules to dissolve the Board.

5. The Board at meeting on 28 May '08 took note of need for a Committee of the Board to study and report within 7 to 10 days documentary evidence on public statements made by Karuna Khaitan & Anju Modi, if any [outside the scope and relevance of the civil case/cyber crime case] that can be called detrimental to the Council. Further action would be considered after this report is presented to the Board. The Board simultaneously decided that the same Committee of the Board would study and report on findings to be acted upon with reference to anonymous blogs/emails and also the mail from member Varun Sardana.

SO WHAT NEXT.......

The Board has acted on every point that is of current importance and bearing. There is nothing more that can be done by the FDCI at this stage. It is time therefore for every member of the Board that is interested in being active, responsible and interested to GO AHEAD and get back to normal life.

Those not interested should be equally responsible and make their intentions known in very, very clear terms. No one can or should be allowed to jeopardise the future of this Council and this industry.

The threat on FDCI at this moment is the creation of another organisation. If it is inevitable let it happen. It is not in any one's hand's to stop it. Yes, it is an unfortunate thing if it happens. So is death – and life goes on. The world does not stop.

The main agenda of utmost importance now is the next WIFW scheduled 15-19 Oct 2008 at Pragati Maidan, Delhi. Planning and preparations on a Fashion Week starts normally 4 to 5 months in advance. So work has to start NOW.

1. ED is fully in charge of the Event. So he has to be asked to present plans/budget etc. within a week. If he feels he is not capable of doing so when other matters are weighing heavily on him he must make his intentions clear. We will respect his decision. He has to make up his mind whose side he is on It is expected that he will do his duties by the Council.

2. A replacement for event manager [read Nidhi] has to be recruited immedately.

3. At the presentation by ED next week Board can put in place Event and Finance Committees Could I suggest this meeting of the Board to consider this positive agenda on Friday next week - 6 June ' 08.

Regards,

Rathi Jha.

( 6 )

Anju.

I am shocked to hear about the hacking of your mail. It is an criminal act and you are within your rights to file a case. I can not imagine this whole affairhas stooped to such low levels. If this has happened even Ashish needs to introspect and resign from post of President. And members of Board must substantiate their allegations. Otherwise it is an irresponsible and motivated act. FDCI is a public body and not created to promote any óther agenda. So every member must be responsible and accountable. I hope every designer will realise this and not contribute in any way to the failure of FDCI. The Council must at all times maintain the integrity of the organistion and its members.

Regards.

Rathi Jha

( 7 )
